1. 🔐 Client API Access
To maintain transparency, control, and data security, clients must supply their own API keys (e.g., OpenAI, Anthropic, or other third-party services). This requirement ensures that:
Full Transparency: You have complete access to all API usage logs, analytics, and performance metrics.
Direct Control: You can set and manage token limits, request thresholds, and usage caps according to your budget.
Independent Billing Oversight: All charges from API providers are billed directly to you, allowing clear separation of costs.
Security & Compliance: You retain full responsibility for managing API keys, rotating credentials, and following security best practices.
Disclaimer: Agentry is not responsible for third-party API costs, rate limits, outages, security breaches due to your key mismanagement, or any interruptions in service caused by external providers.
2. 🧠 Scope of Services
We offer a comprehensive suite of AI services tailored to meet various business needs. These include but are not limited to:
Custom AI Agent Development: Creation and deployment of AI agents (text-based, task-oriented, voice-enabled) built to fit your operational requirements.
System Integrations: Connecting AI agents with platforms such as Slack, Microsoft Teams, CRMs, Notion, VoIP systems, project management tools, and custom APIs.
Orchestration Frameworks: Building and configuring advanced multi-agent workflows using frameworks like CrewAI and LangGraph.
Optimization & Monitoring: Regular performance audits, fine-tuning, and updates to ensure maximum efficiency and accuracy.
AI Adoption Strategy: Consultation on how to integrate AI into your business model, align it with goals, and scale it effectively.
Training & Onboarding: Guidance for your team on best practices for using and managing AI agents.
3. 💳 Billing & Payment Terms
Prepayment Requirement: All fees must be paid in advance on a monthly, quarterly, or annual basis depending on your chosen plan.
Late Payments: Late or failed payments may result in temporary suspension of services until the account is brought current.
Refunds: Refunds will only be provided if clearly specified in a written agreement signed by both parties.
Third-Party Charges: You are solely responsible for all costs incurred from third-party APIs or tools integrated into your solution.
Taxes: All applicable taxes, duties, or government fees are your responsibility unless otherwise stated in writing.

Agentry provides comprehensive support to ensure smooth and uninterrupted use of our AI agents. Our support includes:
Email Support: For general inquiries, troubleshooting, and guidance.
Priority Assistance: For urgent technical issues requiring immediate attention.
Direct Communication Channels: Such as Slack or other agreed platforms for faster response and collaboration.
Critical Issue Handling: Dedicated resources for time-sensitive matters to minimize downtime and disruption.
Our goal is to address inquiries promptly and provide effective resolutions that keep your AI solutions performing at their best.
5. 📊 Privacy & Data Handling
We limit the collection and storage of your data to only what is necessary for delivering services.
All API keys, credentials, and sensitive business data are stored securely and treated as confidential.
You must comply with the privacy and data handling policies of any third-party service used.
We do not sell, rent, or trade your data with third parties for marketing purposes.
6. 🚫 Acceptable Use Policy
You may not use Agentry’s services to:
Violate any applicable laws or regulations.
Infringe on the intellectual property rights of others.
Create harmful, unsafe, or deceptive content.
Engage in activities that disrupt or damage networks, systems, or reputations.
Facilitate spam, phishing, fraud, or other malicious behavior.
Violation of this policy may result in suspension or permanent termination of services without refund.
7. 🛠 Intellectual Property & Ownership
All proprietary technology, tools, scripts, frameworks, and processes developed by Agentry remain our sole property unless otherwise agreed in writing.
You receive a license to use deployed AI agents and integrations solely for your internal business purposes.
Redistribution, resale, sublicensing, or unauthorized sharing of our solutions is prohibited.
8. 🧾 Limitation of Liability
Agentry is not liable for:
Downtime, outages, or errors from third-party APIs or tools.
Inaccuracies, biases, or unexpected outputs from AI-generated content.
Financial, operational, or reputational damages arising from misuse or over-reliance on AI outputs.
You are responsible for reviewing AI-generated results before applying them in any business-critical context.
9. 🤝 Confidentiality
All materials, strategies, and data shared between you and Agentry are kept confidential.
We will not disclose information to third parties without your prior written consent unless required by law.
10. 🛑 Termination Policy
Either party may terminate this agreement with a minimum of 14 days’ written notice.
Upon termination, your account access will be revoked, all API keys will be deleted, and stored data will be erased upon request.
Any outstanding fees must be paid before termination is finalized.
11. ✏️ Updates to These Terms
We may update these Terms from time to time. Any changes will take effect immediately upon posting to our website or sending you written notice. Continued use of our services after such updates constitutes your acceptance of the revised Terms.
